Client Terms and Conditions
Oxbridge Maths Tutors / Oxbridge Maths Tutors Limited / [INSERT CORRECT LEGAL ENTITY NAME] (OMT) acts as agent on behalf of the tutor (Tutor) and will introduce the Tutor to the client (Client).
Any reference to “we” or “us” in these terms refers to the separate and distinct legal entity or entities that make up Oxbridge Maths Tutors.
Fees and Payment
OMT manages the billing process for all tuition arrangements. An invoice will be sent to the Client every two weeks, or at the beginning of a programme, depending on the nature of the tuition required.
Payments must be made to OMT within 7 days of the invoice date.
Fees will be calculated at the rate agreed in advance between OMT and the Client. The Tutor will log their hours through the relevant platform or portal used by OMT, and invoices will be processed based on those logged hours unless otherwise agreed in writing. The Client or parent/guardian may check that these hours have been correctly logged by accessing their account and reviewing their invoices, where applicable.
Payments must not be made directly to the Tutor at any time.
Any payment details that you supply will not be passed on to any unauthorised third party.
Expenses
All expenses, including books and travel, must be agreed with the Tutor in advance.
Non-solicitation
The Client is not permitted to make private arrangements for tuition with a Tutor introduced by OMT. If the Client breaches this obligation, the Client shall be liable to account to OMT for all sums paid to the Tutor without deduction, and OMT shall be entitled to seek injunctive or other equitable relief to prevent further breaches. This obligation shall continue notwithstanding termination of this agreement.
Liability
We accept no liability in respect of any arrangement you may choose to enter into at your discretion with a Tutor.
Our liability to you under this contract is limited to the fees that you pay to us in respect of the relevant services. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot legally be excluded or limited.
We will not be liable for any failure to provide services where such failure is caused by an event outside our reasonable control.
Cancellation Policy
Both the Client and the Tutor must notify the other in advance of any holiday commitments and of any changes to the tuition timetable made necessary by illness. Where possible, an alternative date will be arranged.
If the Client wishes to cancel a lesson, they must do so at least 24 hours in advance.
Bookings cancelled by a Client less than 24 hours before a lesson is due to commence may incur a charge. OMT leaves it to the Tutor’s discretion whether to accept the cancellation request and not charge any lesson fee, or to charge the Client 50% of the lesson fee. Unless instructed otherwise by the Tutor, OMT will, as the Tutor’s agent, automatically charge 50% of the lesson fee, and payment will be processed in accordance with these terms and conditions.
Lessons cancelled less than 12 hours in advance will be charged at the normal full rate.
We ask that both Tutor and Client are reliable and keep cancellations to a minimum.
General
OMT reserves the right to alter these Terms and Conditions. OMT will, however, notify the Client in writing of any changes.
Unless otherwise agreed in writing by a director or authorised representative of OMT, these Terms and Conditions shall prevail over any other terms of business or conditions put forward by the Client.
No variation or alteration of these Terms and Conditions shall be valid unless approved in writing by a director or authorised representative of OMT.
Approval
Acceptance of our services will be taken to represent agreement to these Terms and Conditions.
Terms of Engagement for Tutors
This contract is between OMT and the Tutor.
The following arrangements are understood and agreed by both parties.
General
Once a tutoring position has been confirmed, a contract is entered into between you, the Tutor, and the Client, being the student or the student’s parent or guardian. OMT acts as agent on behalf of the Tutor and the Client.
OMT is responsible for introducing students and an appropriate Tutor for the relevant subject, but is not responsible for the content of lessons or the teaching methods used by the Tutor.
The terms of contract entered into with the Client shall be in the form provided by OMT unless otherwise agreed by OMT in writing.
Private Arrangements
In consideration of OMT providing you with Clients, you are not permitted to make private arrangements for tuition with a Client introduced by OMT, or with new clients introduced by an OMT Client.
If you breach this obligation, you will be liable to account to OMT for all sums received by you from the Client or new client without deduction, and OMT shall be entitled to seek injunctive or other equitable relief to prevent further breaches. This obligation shall continue notwithstanding termination of this agreement.
Any work referred to a Tutor by a Client of OMT must be billed through OMT on your behalf. OMT may, at its discretion, agree a revised commission arrangement for new clients referred to you by existing OMT clients, but OMT must process the billing unless otherwise agreed in writing.
Profiles
OMT requires that your profile is kept up to date, particularly in relation to tuition experience, qualifications, availability, and references. Any new references should be uploaded to the platform used by OMT, where applicable, as they help validate your profile and may increase the likelihood of your being selected for a role.
Environment
You and the Client are responsible for agreeing a suitable environment in which tuition can take place. Lessons may be carried out online or in the Client’s home, unless otherwise agreed.
Payment
OMT will agree the fee structure with the Client on behalf of the Tutor, and this must not be changed without the written authority of OMT.
As part of its service, OMT will endeavour to collect fees due from Clients and pass them on to you, net of the agreed platform fee, agency fee, or commission. OMT invoices Clients on behalf of Tutors based on timesheet entries submitted through the relevant platform or system.
Please ensure that you log each lesson as soon as possible after it has taken place. If timesheets are submitted late or contain incorrect information, payment may be delayed. Payments will only be made once the relevant invoices have been issued to the Client.
You must keep your online timesheet up to date. OMT recommends that Tutors keep a record of all lessons taught, all lessons cancelled with less than 24 hours’ notice, and all expenses agreed with the Client, ideally supported by written confirmation from the Client, together with any relevant text or email correspondence regarding the time and duration of lessons. OMT may be unable to process payment to Tutors where a Client disputes invoiced hours and the Tutor cannot provide adequate records.
You will not be paid directly by the Client. OMT sends invoices to the Client on behalf of, and as agent for, you as Tutor, every two weeks to cover the preceding period of tuition, unless otherwise agreed.
Our payment cycle is currently every two weeks on Fridays. You will not be entitled to receive your fee until OMT has invoiced the Client.
You must not accept any payment directly from the Client without the written permission of a director or authorised representative of OMT. If you do so, all sums received by you shall become immediately payable to OMT and may be recoverable through the courts without further notice.
You undertake to OMT that you will properly account for and pay all tax and national insurance contributions due from you, whether in the United Kingdom or elsewhere, in relation to payments made to you by OMT under this agreement. You further agree to indemnify OMT in respect of all income tax, national insurance contributions, interest, penalties, and related liabilities which may be found due from OMT arising out of payments made to you under this agreement.
For record-keeping purposes, you will account for the full fees due from the Client as income and the relevant platform fee, agency fee, or commission as expenditure.
It is understood that you are not VAT-registered unless you notify us otherwise. You must inform us immediately if this is not the case or if this changes.
Expenses
All expenses, including books and travel, must be agreed with the Client before they are added to your account or otherwise claimed. If you purchase books or materials, you should keep receipts. Any expenses incurred by you without the agreement of the Client will not be reimbursed by OMT.
OMT may from time to time issue separate guidance on which travel expenses may or may not be charged.

OMT recommends that you agree a 24-hour cancellation policy with the Client so that OMT can charge them where they cancel the lesson at short notice. OMT leaves it to the Tutor’s discretion whether to accept the Client’s cancellation request where less than 24 hours’ notice is given and not charge any lesson fee, or to charge the Client 50% of the lesson fee. Unless instructed otherwise by the Tutor, OMT will, as the Tutor’s agent, automatically charge 50% of the lesson fee and payment will be processed in accordance with these terms and conditions.

You must have agreed this cancellation policy and any chargeable cancelled hours with the Client before OMT can charge for them. The Tutor must notify OMT as soon as possible, and in any event within 24 hours of the original lesson time, in order to claim such charges.
Damages
OMT accepts no liability for any claims by the Client arising out of or related to the carrying out of tutoring services by you, and you agree to indemnify OMT without limit in respect of any such claims, except to the extent such liability cannot legally be excluded.
Confidentiality
You undertake that you shall not at any time during this agreement, and for a period of five years after termination of this agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients, or suppliers of OMT, except where disclosure is required by law, a court of competent jurisdiction, or any governmental or regulatory authority.
You shall not use OMT’s confidential information for any purpose other than the performance of your obligations under this agreement.
Data Protection
OMT uses tutor personal data for the purposes of providing its services. By providing personal data, Tutors consent to the use of that data by OMT for the purpose of arranging introductions to Clients, billing and fee collection, administration, compliance, and enabling OMT to contact the Tutor when needed.
OMT will process personal data in accordance with applicable data protection law and its Privacy Policy.
General
OMT reserves the right to alter these Terms and Conditions. OMT will, however, notify you in writing of any changes.
Unless otherwise agreed in writing by a director or authorised representative of OMT, these Terms and Conditions shall prevail over any other terms of business or conditions put forward by you.
No variation or alteration of these Terms and Conditions shall be valid unless approved in writing by a director or authorised representative of OMT.
